These Terms of Service govern your use of the AMPI Property Search service provided by Dantech Experts. By subscribing to or using this service, you agree to be bound by these terms. Please read them carefully before proceeding.
1. Definitions
- "Service" means the AMPI Property Search plugin, licence management system, and all related services provided by Dantech Experts
- "Client" means any individual or business that subscribes to the Service
- "Visitor" means any end user who accesses property search functionality on a Client's website through the Service
- "AMPI API" means the AMPI San Miguel de Allende MLS API used to retrieve property listing data
- "Licence Key" means the unique key issued to each Client to activate the plugin
2. Eligibility
To use this Service you must:
- Be an active member of AMPI (Asociación Mexicana de Profesionales Inmobiliarios) with a valid API key issued by AMPI San Miguel de Allende
- Have a live WordPress website where the plugin will be installed
- Be at least 18 years of age
- Have the authority to enter into these Terms on behalf of yourself or your organisation
We reserve the right to refuse service to anyone at our sole discretion.
3. Setup Fee and Subscription
3.1 Setup Fee
A one-time setup fee of $250 USD is charged before installation begins. This fee covers installation of the plugin on your WordPress site, configuration of your AMPI API connection, brand colour customisation, and testing. The setup fee is non-refundable once installation work has commenced.
3.2 Subscription Plans
Following setup, the Service is provided on a recurring subscription basis. Available plans are:
- Starter — $29/month or $290/year
- Pro — $49/month or $490/year
Plan details and features are described on our pricing page and may be updated from time to time with reasonable notice to active clients.
3.3 Billing
Subscriptions are billed automatically through Lemon Squeezy on your chosen billing cycle (monthly or annual). By subscribing, you authorise recurring charges to your payment method. You are responsible for keeping your payment information current.
3.4 Failed Payments
If a payment fails, we will notify you by email. We allow a grace period of 7 days for payment to be updated. If payment is not received within 7 days, your licence will be suspended and the plugin will cease to function on your website until payment is resolved.
4. Licence and Permitted Use
4.1 Licence Grant
Upon payment of the setup fee and active subscription, we grant you a limited, non-exclusive, non-transferable licence to use the AMPI Property Search plugin on one (1) WordPress website domain registered with us.
4.2 Restrictions
You may not:
- Share, transfer, or sublicence your Licence Key to any third party
- Install or activate the plugin on more than one domain without purchasing an additional licence
- Reverse engineer, decompile, or attempt to extract the source code of the plugin
- Use the Service to display or promote illegal, fraudulent, or misleading property listings
- Use the Service in any way that violates AMPI's terms of use for their MLS API
- Resell, redistribute, or white-label the Service without our prior written consent
4.3 AMPI API Key Responsibility
You are solely responsible for obtaining and maintaining a valid AMPI API key. We are not affiliated with AMPI and cannot obtain API access on your behalf. If your AMPI API key is suspended or revoked by AMPI, the Service will not function and no refund will be issued for this reason.
5. Service Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted operation. The Service depends on third-party infrastructure including the AMPI MLS API, your WordPress hosting, and our licence servers. We are not liable for downtime caused by third parties.
We will notify active clients of planned maintenance with reasonable advance notice where possible.
6. Cancellation
6.1 By You
You may cancel your subscription at any time through your Lemon Squeezy customer portal or by emailing support@dantechexp.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date. No partial refunds are issued for unused days in a billing period.
6.2 By Us
We reserve the right to suspend or terminate your licence immediately if you:
- Violate any of these Terms of Service
- Fail to make payment within the grace period
- Use the Service for illegal or fraudulent purposes
- Abuse or misuse the AMPI MLS API in ways that affect other clients
7. Intellectual Property
The AMPI Property Search plugin, licence management system, and all associated code, design, and documentation remain the exclusive intellectual property of Dantech Experts. Your subscription grants you a licence to use the Service — it does not transfer any ownership rights.
Property listing data retrieved through the AMPI MLS API belongs to AMPI and the respective listing agents. We make no claim of ownership over MLS data.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that property listing data retrieved from the AMPI MLS API is accurate, complete, or current. Listing data accuracy is the responsibility of AMPI and the individual listing agents.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Dantech Experts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of leads, or loss of business opportunities arising from your use of or inability to use the Service.
Our total liability to you for any claim arising out of or relating to these Terms shall not exceed the total subscription fees paid by you in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Dantech Experts and its team members from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Changes to Terms
We may update these Terms from time to time. We will notify active clients by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not agree with the changes you may cancel your subscription before they take effect.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration.
